- Introduction
These terms and services (the “Agreement”) govern the relationship between the client (“Client”) and the video production company (“Company”) with respect to the video production services to be provided by the Company to the Client. By accepting these terms and services, the Client agrees to be bound by the terms and conditions set forth in this Agreement.
- Scope of Services
The Company will provide the following video production services to the Client:
- Consulting on video production concepts and ideas
- Script writing and storyboarding
- Filming and video capture
- Editing and post-production
- Delivery of the final video in the specified format
- Fees and Payment
The Client will pay the Company the agreed-upon fee for the video production services. The fee will be paid in installments as outlined in the project proposal, with a final payment due upon completion of the project.
- Intellectual Property
The Client retains ownership of any intellectual property provided by the Client to the Company for the purpose of the video production. The Company retains ownership of any intellectual property created by the Company in the course of providing the video production services.
- Confidentiality
The Company will keep confidential any information provided by the Client that is marked as confidential or that would reasonably be considered confidential.
- Termination
Either party may terminate this Agreement at any time by providing written notice to the other party. In the event of termination, the Client will pay the Company for any services provided up to the date of termination, and the Company will return any materials provided by the Client.
- Disclaimer
The Company makes no representations or warranties about the quality of the video production services provided under this Agreement. The Client acknowledges that the final product may not meet the Client’s expectations and agrees to hold the Company harmless for any dissatisfaction with the final product.
- Governing Law
This Agreement will be governed by the laws of the state of [State]. Any disputes arising under or in connection with this Agreement will be resolved in the courts of [State].
- Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter of this Agreement and supersedes any prior agreements or understandings, whether oral or written. This Agreement may not be amended or modified except in writing signed by both parties.
